4. Client Engagements & Project Agreements
Professional service engagements are governed by separate written agreements between Phoenix IT and the client, which may include:
- Statement of Work (SOW): Defines project scope, deliverables, timeline, and pricing.
- Non-Disclosure Agreement (NDA): Protects confidential information shared during the engagement.
- Service Agreement: Governs the overall working relationship, payment terms, and intellectual property rights.
In the event of any conflict between these Terms and a signed project agreement, the signed project agreement shall take precedence.
5. Payment Terms
Unless otherwise specified in a project agreement:
- Projects may require a deposit prior to commencement of work
- Invoices are due within 15 days of receipt
- Late payments may incur interest at the rate of 1.5% per month
- Phoenix IT reserves the right to pause work on accounts with outstanding balances
6. Intellectual Property
Client Work: Upon receipt of full payment, clients receive full ownership of custom-developed code, designs, and deliverables created specifically for their project, as specified in the project agreement.
Phoenix IT Property: We retain ownership of our pre-existing tools, frameworks, methodologies, and any intellectual property not specifically created for the client's project. Reusable components may be incorporated into client deliverables under a perpetual license.

7. Confidentiality
Both parties agree to keep confidential any non-public information shared during a project engagement. This obligation survives the termination of any service agreement. Specific confidentiality terms are typically detailed in a separate NDA.
8. Limitation of Liability
To the fullest extent permitted by applicable law, Phoenix IT Solution LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with our services or these Terms.
Our total liability for any claim arising out of or related to our services shall not exceed the total fees paid by the client to Phoenix IT during the three (3) months preceding the event giving rise to the claim.
9. Disclaimer of Warranties
Our website is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.
Professional services are provided with reasonable skill and care consistent with industry standards. Specific warranties, if any, are defined in individual project agreements.
10. Indemnification
You agree to indemnify, defend, and hold harmless Phoenix IT Solution LLC, its officers, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of your use of our website, violation of these Terms, or infringement of any third-party rights.
11. Termination
Either party may terminate a service engagement as specified in the applicable project agreement. Phoenix IT reserves the right to terminate website access for any user who violates these Terms.
Upon termination of a service engagement, Phoenix IT will provide all completed deliverables and client-owned materials, subject to receipt of all outstanding payments.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Hillsborough County, Florida.
13. Dispute Resolution
Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation. If negotiation fails, disputes may be submitted to binding arbitration under the rules of the American Arbitration Association.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will post the updated Terms on this page with a revised effective date. Continued use of our website or services after changes constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.
